GEIA.AI Terms of Use and Service
These terms apply to the GEIA website, apps, accounts, platform, hardware-related services, APIs, MQTT connections and community features. Product-specific terms may also apply.
1. About GEIA.AI
GEIA.AI provides modular smart-agriculture technology, including software, cloud services, IoT platform features, local gateways, edge infrastructure, hardware kits, sensors, automation tools, monitoring tools, AI-assisted features, managed services, and related products.
GEIA systems are designed to assist with monitoring, control, and automation in controlled-environment agriculture, hydroponics, greenhouses, indoor farms, outdoor agricultural environments, and related installations.
GEIA systems do not replace human supervision, professional installation, independent safety systems, qualified agronomy, electrical safety controls, water safety controls, or local legal compliance.
2. Acceptance of These Terms
By using the GEIA.AI website, app, platform, account services, product pages, configurators, documentation, APIs, MQTT connections, community features, or related services, you confirm that you accept these Terms and agree to comply with them.
If you do not agree with these Terms, you must not use GEIA.AI.
Additional GEIA terms may apply when you purchase hardware, subscribe to software, use GEIA Cloud/PaaS, select a Flex Hardware Plan, purchase managed services, participate in Host and Earn, use APIs, or access community features.
4. U.S. Company and International Use
GEIA.AI is operated by GEIA Systems Inc., a Delaware corporation.
GEIA may make products and services available internationally, including to customers in the United States, European Union, United Kingdom, and other regions.
If you access GEIA.AI from outside the United States, you are responsible for complying with local laws that apply to your use of GEIA products and services, including laws relating to imports, taxes, customs, radio/wireless use, electrical installation, water systems, privacy, cameras, workers, safety, and agricultural operations.
Nothing in these Terms limits mandatory consumer rights, data protection rights, warranty rights, withdrawal rights, payment dispute rights, or other rights that cannot legally be limited under applicable law.
5. Business and Consumer Users
GEIA may serve both business users and individual users.
Some GEIA products, subscriptions, Flex Hardware Plans, managed services, enterprise services, on-site support, Host and Earn participation, and custom deployments may be available only to business, farm, professional, commercial, or approved users.
Where you purchase or use GEIA products or services on behalf of a company, farm, greenhouse, organization, or other legal entity, you confirm that you have authority to bind that entity to these Terms.
GEIA may require additional verification before accepting certain orders, subscriptions, Flex plans, managed services, enterprise services, or Host and Earn applications.
6. Account Registration
Some GEIA services require an account.
When creating an account, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
You must notify GEIA promptly if you suspect unauthorized access, compromised credentials, suspicious activity, or misuse of your account.
GEIA may refuse, suspend, limit, or terminate accounts where information is inaccurate, misleading, abusive, unlawful, incomplete, fraudulent, or creates security, payment, operational, safety, or legal risk.
7. Account Security
You are responsible for securing your account, local devices, gateways, edge servers, routers, passwords, API keys, MQTT credentials, integrations, and connected systems.
You must not share credentials with unauthorized users.
You must not attempt to access another user’s account, devices, data, workloads, configurations, private content, or systems.
GEIA may require password resets, access restrictions, device disconnection, firmware updates, token rotation, or other security measures where needed to protect GEIA, the platform, customers, devices, data, or infrastructure.
8. Permitted Use
You may use GEIA.AI only for lawful purposes and in accordance with these Terms.
You may use GEIA services to monitor, manage, configure, and automate compatible growing environments, devices, sensors, gateways, edge servers, and related systems, subject to your selected hardware, plan, subscription, permissions, and applicable documentation.
Your use must remain within applicable plan limits, technical limits, safety requirements, and legal requirements.
9. Prohibited Use
You must not:
- violate applicable laws or regulations;
- interfere with GEIA systems or other users;
- attempt unauthorized access;
- scan, attack, overload, scrape, or disrupt GEIA services;
- bypass usage limits, subscriptions, billing, permissions, or security controls;
- upload malware, harmful code, or abusive traffic;
- misuse APIs, MQTT, integrations, or automation features;
- reverse engineer GEIA systems except where mandatory law allows;
- misrepresent your identity, company, farm, site, or intended use;
- abuse discounts, credits, refunds, chargebacks, trials, or promotions;
- use GEIA for unlawful surveillance or unauthorized monitoring;
- connect unsafe, unsupported, illegal, or incorrectly wired equipment;
- use GEIA as the only control layer for safety-critical, life-critical, or emergency systems;
- access, copy, modify, delete, or interfere with other customer data;
- tamper with Host and Earn workloads;
- use GEIA services to host unrelated workloads unless expressly authorized.
Further rules may be provided in the GEIA Acceptable Use Policy.
10. Product and Service Information
GEIA tries to keep website content, product descriptions, pricing, compatibility notes, availability, shipping estimates, plan limits, and technical information accurate.
However, GEIA does not guarantee that all website information is always complete, current, error-free, or suitable for your specific site, crop, climate, greenhouse, farm, equipment, internet connection, safety requirements, or business purpose.
Product images, diagrams, renders, package descriptions, compatibility examples, screenshots, charts, and feature descriptions may be illustrative.
GEIA may update, change, replace, discontinue, rename, limit, or improve products, packages, components, software features, hardware specifications, documentation, plans, or services at any time.
11. Beta, Early-Stage, and Developing Features
GEIA software, app features, web app features, charts, analytics, management tools, plant-based automation, automation recipes, AI features, live camera features, timelapse features, edge features, integrations, dashboards, and reporting tools may be in active development.
Some features may be experimental, incomplete, plan-dependent, hardware-dependent, gateway-dependent, edge-dependent, region-dependent, unavailable, limited, or subject to change.
GEIA may release, modify, pause, remove, rename, or discontinue beta, preview, experimental, or developing features.
You should not rely on beta, preview, experimental, or developing features for critical crop, safety, financial, legal, or operational decisions.
12. GEIA Platform, Cloud, Gateway, and Edge Services
GEIA may operate through local devices, sensors, nodes, gateways, edge servers, cloud infrastructure, APIs, MQTT connections, and app interfaces.
Feature availability depends on selected hardware, firmware, software version, package, subscription status, network connection, internet availability, gateway type, edge server availability, cloud availability, account status, and plan limits.
Some features may run locally. Some features may require cloud access. Some features may depend on gateway or edge-server capability.
MasterGrow Hub Lite may have limited local capabilities and may not include AI features.
MasterGrow Hub Pro may include additional local, edge, AI, and cloud-connected capabilities depending on selected package.
Edge Server packages may allow longer local data retention, offline operation, local app access, local automation, and larger site capacity depending on selected configuration.
13. Offline-Only Edge Mode
GEIA may offer an offline-only Edge Server package or local-first package.
Offline-only mode may allow local app access, local automation, local monitoring, and local data storage without normal cloud sync.
Offline-only mode may still require a software license, symbolic subscription, update plan, maintenance plan, setup fee, support fee, or limited periodic sync depending on the selected package.
Offline-only mode may not include normal cloud backup, remote access, cloud AI, live cloud monitoring, hosted dashboards, cloud camera storage, or cloud-based support unless expressly included.
14. Cloud-Only and Internet-Dependent Use
Some GEIA packages or features may depend on internet connectivity, cloud availability, customer network stability, power availability, third-party infrastructure, and active subscription status.
Cloud-only automation is not recommended for mission-critical live crop control, irrigation control, dosing, CO₂ control, heating, cooling, ventilation, safety systems, or any installation where interruption may cause crop loss, equipment damage, animal harm, personal injury, or significant business loss.
Customers using cloud-only or internet-dependent features are responsible for manual backups, local monitoring, independent fail-safes, backup procedures, and emergency plans.
15. Packages, Subscriptions, and Plan Limits
GEIA may offer free, included, paid, managed, offline-only, edge, cloud, trial, promotional, or custom subscription packages.
Each package may include different limits for:
- cloud sync speed;
- live refresh speed;
- local data retention;
- cloud data retention;
- visible chart history;
- automation features;
- AI features;
- camera/livecam access;
- timelapse storage;
- device count;
- gateway capabilities;
- edge capabilities;
- support level;
- API access;
- app features;
- storage;
- users or team members;
- integrations.
GEIA may display package limits on pricing pages, checkout pages, product pages, account pages, documentation, invoices, quotes, or order confirmations.
Plan limits may change over time. Where a change materially affects a paid service, GEIA will handle the change according to the applicable subscription, billing, or service terms.
16. Subscription Billing and Automatic Renewal
Paid packages may renew monthly, annually, or according to the selected billing period.
By selecting a paid recurring package, you authorize GEIA or its payment processor to charge the payment method on file according to the selected plan until cancelled, expired, downgraded, suspended, or terminated.
Subscription features may depend on successful payment and active account status.
GEIA may retry failed payments, request updated billing information, suspend paid features, downgrade an account, or terminate a subscription according to these Terms and the applicable Subscription & Billing Terms.
Nothing in this section limits cancellation, refund, withdrawal, or payment dispute rights that cannot legally be limited.
17. Cancellation and Plan Changes
Customers may cancel subscriptions through the account interface where available or by contacting GEIA support where account cancellation is not available.
Cancellation stops future renewal charges, but does not automatically refund past charges unless required by law, stated in the applicable plan terms, or approved by GEIA.
Customers may upgrade or downgrade plans where supported.
Upgrades may take effect immediately. Downgrades may take effect immediately or at the end of the billing period depending on plan rules, technical configuration, billing status, and applicable terms.
Downgrades may reduce cloud sync, live refresh speed, AI access, camera/livecam access, timelapse storage, historical charts, data retention, connected devices, support level, APIs, automations, and other plan-based features.
18. Non-Payment, Suspension, and Downgrade
GEIA subscriptions, cloud services, PaaS features, managed services, AI features, live data, camera/timelapse features, historical data access, sync speed, API access, gateway features, edge features, and support levels may depend on an active paid plan.
If a subscription payment, invoice, Flex payment, managed service fee, setup fee, renewal charge, or other amount fails, is reversed, refunded, disputed, charged back, or remains unpaid, GEIA may notify the customer and attempt to collect payment using the payment method on file or another approved payment method.
If payment is not resolved within the applicable grace period, GEIA may suspend, limit, downgrade, or terminate the affected services.
Depending on the hardware and plan, the account may be moved to an included, free, offline, local-only, or limited package. This may reduce or disable cloud sync, live refresh speed, AI features, camera/timelapse storage, historical chart access, remote access, support level, API access, data retention, and other plan-based features.
Suspension or downgrade does not cancel outstanding payment obligations, Flex obligations, managed service fees, hardware balances, setup fees, recovery costs, or other amounts owed.
19. Effect of Downgrade on Data Retention
If an account is downgraded, suspended, cancelled, moved to an included/free package, or switched to a lower-tier plan because of non-payment, failed payment, chargeback, refund, cancellation, plan change, or customer request, the account will become subject to the limits of the new plan.
These limits may include reduced cloud sync speed, reduced live refresh speed, reduced automation features, reduced AI access, reduced camera/timelapse storage, reduced historical chart access, shorter data retention, fewer connected devices, fewer visible logs, and lower support level.
Historical data, logs, images, timelapses, charts, backups, or other stored records that exceed the downgraded plan’s limits may become unavailable, archived, overwritten, or permanently deleted. GEIA is not responsible for loss of access to data that exceeds the applicable plan limits after a downgrade, suspension, cancellation, or non-payment event, except where required by law.
Where practical, GEIA may provide notice or a limited grace period before deleting stored data, but GEIA is not required to retain data beyond the limits of the active plan unless required by applicable law or agreed in writing.
20. Data Export and Customer Backups
GEIA may provide data export tools depending on plan, account status, technical availability, data format, and system capability.
Customers are responsible for exporting important data before cancellation, downgrade, suspension, plan change, account closure, or service termination.
GEIA does not guarantee that all historical data, images, timelapses, logs, backups, or charts will remain available after a downgrade, suspension, cancellation, unpaid period, chargeback, refund, or plan change.
Local gateway and edge storage may have separate capacity limits, retention settings, backup rules, and overwrite behavior.
21. Maintenance and Availability
GEIA may perform maintenance, updates, security patches, migrations, emergency repairs, infrastructure changes, database changes, firmware updates, or system improvements.
Services may be temporarily unavailable during maintenance or unexpected outages.
GEIA may suspend or limit services temporarily to protect security, infrastructure, customers, data, devices, or system stability.
Unless a separate written service level agreement applies, GEIA does not guarantee uninterrupted or error-free access to the website, app, cloud services, APIs, MQTT services, live data, camera streams, timelapses, dashboards, gateways, edge services, or support systems.
22. AI-Assisted Features
GEIA may provide AI-assisted features, including suggestions, alerts, analysis, summaries, predictions, anomaly detection, automation assistance, camera/image analysis, optimization support, diagnostics, and operational recommendations.
AI-assisted outputs may be incomplete, inaccurate, delayed, experimental, or unsuitable for a specific crop, site, climate, sensor setup, hardware configuration, water system, nutrient system, greenhouse, farm, or operational goal.
You must review, validate, and supervise AI-assisted outputs before relying on them.
GEIA does not guarantee crop yield, plant health, disease prevention, pest prevention, water savings, energy savings, nutrient optimization, revenue, compliance, or business outcome from AI-assisted features.
AI-assisted automation must not be used as the only decision layer for critical systems such as irrigation, dosing, heating, cooling, CO₂, ventilation, pumps, valves, lights, humidity control, or safety systems.
23. Agricultural Automation Safety
GEIA products and services are designed to assist with monitoring and automation. They are not a substitute for human supervision, professional installation, qualified agronomy, independent safety systems, manual overrides, or local compliance.
You are responsible for:
- validating automations before live use;
- checking sensor readings;
- maintaining sensors and calibration;
- using independent fail-safes;
- maintaining manual overrides;
- monitoring crops and equipment;
- maintaining internet, power, and local networks;
- using safe wiring, enclosures, relays, and power supplies;
- complying with local electrical, water, radio, safety, and agricultural regulations.
GEIA should not be the only control layer for critical systems, including heating, cooling, ventilation, CO₂, irrigation, dosing, pumps, valves, lights, humidity control, security systems, animal-related systems, or life-support systems.

24. Sensors, Devices, and Automation Limits
Sensors can fail, drift, become dirty, lose calibration, disconnect, report incorrect values, or become unsuitable for their environment.
Automations can be affected by power outages, internet outages, cloud outages, local network issues, gateway failure, edge-server failure, firmware bugs, incorrect settings, user error, environmental conditions, third-party equipment failure, pump failure, relay failure, sensor error, radio interference, or incorrect installation.
You are responsible for verifying sensor readings, testing automations, maintaining equipment, and using independent safety protections.
GEIA does not guarantee prevention of crop loss, disease, stress, overheating, underwatering, overwatering, nutrient imbalance, equipment failure, or business loss.
25. Dangerous Equipment and Installation
Relays, sockets, pumps, solenoids, heaters, fans, CO₂ systems, dosing systems, irrigation systems, lighting systems, cooling systems, ventilation systems, batteries, solar components, and high-power devices can create risk if installed or configured incorrectly.
You are responsible for safe installation and operation.
Electrical work, water systems, pumps, relays, valves, CO₂ systems, heating, cooling, and ventilation should be installed by qualified personnel where required.
You must not connect unsupported, unsafe, overloaded, incorrectly rated, or illegally installed equipment to GEIA systems.
26. Hardware, Shop, Shipping, Returns, and Warranty
Purchases of GEIA hardware, kits, nodes, gateways, edge servers, sensors, accessories, solar add-ons, LoRaWAN upgrades, and related physical products are governed by the applicable Terms of Sale, Shipping & Fulfillment Policy, Returns, Refunds & Warranty Policy, checkout terms, order confirmation, invoice, and warranty terms.
Placing an order does not guarantee acceptance. GEIA may reject, cancel, hold, or request changes to an order if product configuration is unavailable, payment fails, stock information is incorrect, shipping is unavailable, the selected configuration is incompatible, additional verification is required, or the order appears fraudulent, abusive, unsafe, or unlawful.
GEIA products may be assembled, tested, packed, fulfilled, or shipped by GEIA, its affiliates, contractors, suppliers, warehouses, or fulfillment partners.
Depending on product availability, configuration, and destination, orders may ship from the United States, European Union, United Kingdom, China, or other fulfillment locations.
Unless otherwise stated, the legal seller is GEIA Systems Inc., a Delaware corporation.
27. Taxes, Customs, and Import Duties
Prices, taxes, VAT, import duties, customs fees, brokerage fees, carrier fees, and local charges may vary depending on destination, customer type, product type, and shipping method.
For international orders, the customer is responsible for import duties, customs clearance, local taxes, brokerage fees, and destination-country compliance unless GEIA expressly states otherwise at checkout or in writing.
GEIA is not responsible for customs delays, customs inspections, denied import, incorrect local import classification, local regulatory restrictions, or carrier/customs processing delays unless required by law.
28. Solar Add-On Notice
The GEIA Off-Grid Solar Power Kit is intended for eligible low-power GEIA nodes.
Runtime depends on sunlight, season, panel placement, battery health, temperature, enclosure conditions, sensor load, transmission frequency, actuator use, and installation quality.
The Off-Grid Solar Power Kit is not available for AquaSense and is not recommended for AquaControl or other high-load automation setups unless expressly approved by GEIA.
GEIA does not guarantee that solar power will keep a node online in all seasons, weather conditions, or installation locations.
29. LoRaWAN Wireless Upgrade Notice
The GEIA LoRaWAN Wireless Upgrade may include a gateway and required LoRaWAN add-on boards for selected compatible kits.
LoRaWAN range and reliability depend on gateway placement, antenna placement, terrain, building materials, interference, regional radio rules, duty-cycle limitations, weather exposure, power availability, and correct installation.
GEIA may recommend LoRaWAN for long-range sensors, outdoor zones, tanks, and multi-greenhouse sites, but coverage is not guaranteed without site-specific validation.
Customers are responsible for using correct regional frequencies and complying with applicable radio/wireless regulations.
30. Payment Disputes and Chargebacks
If you believe a payment, order, subscription charge, delivery, product, or service is incorrect, you should contact GEIA support before initiating a chargeback or payment dispute, unless you reasonably believe the transaction was unauthorized, fraudulent, or legally requires direct contact with your payment provider.
GEIA will make reasonable efforts to investigate and resolve refund, warranty, billing, delivery, and service issues.
If a customer initiates a chargeback, payment dispute, reversal, or similar claim without first making a reasonable attempt to contact GEIA, or provides false, incomplete, or misleading information in connection with a dispute, GEIA may, where permitted by law:
- suspend or limit the customer’s GEIA account;
- suspend cloud, PaaS, managed service, support, API, remote access, or Host and Earn access;
- cancel pending orders;
- pause fulfillment of unshipped products;
- require payment of outstanding balances, chargeback fees, collection costs, or unrecovered hardware/service amounts;
- require future orders to be paid by bank transfer or another approved payment method;
- decline future sales, Flex plans, managed services, subscriptions, or Host and Earn participation.
These measures do not limit mandatory consumer rights, statutory refund rights, warranty rights, or rights to dispute unauthorized or incorrect charges under applicable law.
31. Flex Hardware Plans
Flex Hardware Plans are governed by the GEIA Flex Hardware Plan Terms and any applicable quote, checkout page, invoice, order confirmation, or written agreement.
A Flex Hardware Plan may allow approved customers to access selected GEIA hardware by paying part of the cost upfront, followed by scheduled Flex payments over a defined period, with a final purchase option at the end of the Flex term.
Hardware ownership does not transfer until all required upfront amounts, recurring Flex payments, unpaid fees, applicable charges, and the final purchase option amount have been paid in full.
Missed, failed, reversed, disputed, charged back, refunded, or unpaid Flex payments may result in service suspension, account downgrade, loss of purchase option, return obligations, recovery costs, collection of unpaid amounts, or future service restrictions where permitted by law.
GEIA will not intentionally disable safety-critical local functions where doing so would create foreseeable danger to people, property, animals, or crops. However, the customer remains responsible for maintaining backup systems, manual overrides, independent safety cutoffs, internet connectivity, power, and safe operation of the grow site.
Flex terms require separate review and acceptance before use.
32. Managed Services
Managed Services are governed by the GEIA Managed Services Terms and any applicable quote, order confirmation, invoice, Statement of Work, or signed agreement.
Managed Services may include premium support, remote setup, installation direction, on-site setup, consultancy, lab coordination, monitoring, configuration, training, system planning, and custom project work.
The exact scope of Managed Services is limited to what is included in the applicable order, quote, package description, Statement of Work, or written agreement.
Managed Services do not guarantee crop yield, plant health, disease prevention, pest prevention, energy savings, water savings, revenue, certification, compliance, or business outcome.
GEIA may suspend, pause, delay, or cancel Managed Services if invoices, milestone payments, subscriptions, travel fees, lab fees, hardware fees, or related service charges are unpaid, reversed, charged back, or disputed.
Suspension of Managed Services does not affect amounts already owed for completed work, third-party costs, lab testing, travel, hardware, custom configuration, or committed project work.
33. Third-Party Lab Tests and Services
GEIA may coordinate, support, refer, or help interpret third-party lab tests, site assessments, integrations, or professional services.
Lab services and third-party professional services are provided by independent third parties unless expressly stated otherwise.
GEIA is not responsible for lab delays, lab errors, sample contamination, shipping delays, third-party test limitations, third-party recommendations, or third-party service failures, except where required by law or expressly agreed in writing.
34. Host and Earn
Host and Earn is governed by the GEIA Host and Earn Program Terms.
Purchasing an Edge Server does not guarantee Host and Earn eligibility.
Host and Earn participation is subject to GEIA approval, technical eligibility, workload availability, verified uptime, account standing, network need, power stability, security requirements, server health, physical environment, and program rules.
Host and Earn credits are not guaranteed.
Unless GEIA expressly states otherwise in writing, Host and Earn credits are GEIA service credits only and are not cash, wages, rent, interest, employment compensation, or guaranteed income.
Host and Earn credits may be withheld, reduced, cancelled, expired, or applied against unpaid GEIA balances if the customer’s account has unpaid invoices, failed payments, unresolved chargebacks, payment disputes, suspected abuse, security issues, or violations of GEIA terms.
35. APIs, MQTT, Integrations, and Developer Use
GEIA may provide APIs, MQTT connections, integration tools, documentation, webhooks, SDKs, developer access, or third-party connection options.
You must use these tools only according to GEIA documentation, plan limits, access permissions, and applicable law.
GEIA may limit, suspend, rotate, or revoke API keys, MQTT credentials, tokens, integrations, or developer access where needed for security, abuse prevention, service stability, non-payment, legal compliance, or violation of these Terms.
You must not use GEIA APIs, MQTT, integrations, or developer tools to overload systems, bypass limits, access unauthorized data, interfere with other customers, create unsafe automation behavior, or connect unsupported systems.
36. User Content and Submitted Information
You may be able to submit, upload, enter, publish, or share content through GEIA services, including configurations, automation rules, plant logs, notes, photos, camera images, timelapses, grow strategies, product reviews, support messages, community posts, public listings, and other materials.
You are responsible for the content you submit.
You must not submit content that:
- is unlawful, misleading, abusive, defamatory, or infringing;
- contains malware or harmful code;
- violates another person’s privacy or intellectual property rights;
- includes confidential information you are not authorized to share;
- includes personal data of others without proper rights or consent;
- contains unsafe instructions or unlawful automation use;
- misrepresents product performance, crop results, or agricultural outcomes.
You retain ownership of content you submit, but you grant GEIA a non-exclusive, worldwide, royalty-free license to host, store, process, display, transmit, and use that content as needed to provide, secure, support, improve, and operate GEIA services.
Where you choose to make content public or shared, you allow GEIA to display that content to other users or visitors according to your selected sharing settings.
37. Public Sharing and Community Features
GEIA may offer optional community or public-sharing features, including shared configurations, public grow examples, anonymized insights, public listings, contributor profiles, “top grower” features, partner listings, or community knowledge resources.
Participation in public-sharing features is voluntary.
You are responsible for reviewing what you choose to share publicly.
GEIA may moderate, edit formatting, remove, hide, or restrict public content where it violates these Terms, creates legal risk, creates safety risk, infringes rights, is misleading, or is otherwise unsuitable for the GEIA platform.
38. GEIA 3D Open Designs, External References, and Creator Listings
GEIA may provide an open designs library, 3D-print references, external design listings, creator references, source links, categories, notes, tags, compatibility guidance, or community-submitted listings.
Unless expressly stated otherwise, third-party designs remain owned by their respective creators or licensors.
GEIA does not claim ownership of external third-party designs merely because they are listed, referenced, categorized, reviewed, or linked on GEIA.AI.

Creators or rights holders may contact GEIA to request correction, attribution changes, claim options, removal, or updates to a listing.
Compatibility notes for 3D-printable designs are informational only and do not guarantee fit, safety, printability, material suitability, greenhouse suitability, food safety, UV resistance, water resistance, pressure resistance, or regulatory compliance.
39. Intellectual Property
GEIA owns or licenses the GEIA.AI website, software, platform, UI, product names, logos, graphics, documentation, technical materials, product descriptions, automation concepts, code, design elements, and related intellectual property.
You may not copy, reproduce, modify, publish, distribute, sell, sublicense, reverse engineer, scrape, mirror, frame, or create derivative works from GEIA materials without written permission, except where mandatory law allows.
You may not use GEIA names, logos, branding, screenshots, product images, or marketing materials in a misleading way or in a way that suggests endorsement, partnership, certification, or authorization without written permission.
40. Feedback and Suggestions
If you send GEIA ideas, suggestions, bug reports, feature requests, improvements, designs, comments, or other feedback, GEIA may use them without restriction or compensation.
You confirm that your feedback does not contain confidential information unless GEIA has agreed in writing to receive it as confidential.
41. Third-Party Services, Suppliers, and Components
GEIA may use or integrate with third-party providers, including payment processors, shipping carriers, warehouses, cloud providers, analytics tools, email providers, support tools, lab providers, sensor manufacturers, hardware suppliers, LoRaWAN providers, camera systems, marketplaces, APIs, and other services.
GEIA is not responsible for third-party services, websites, products, delays, outages, errors, data handling, pricing, availability, terms, or policies unless required by law or expressly agreed in writing.
Your use of third-party services may be subject to additional third-party terms.
42. Data, Privacy, and Security
GEIA’s collection and use of personal data is described in the GEIA Privacy Policy.
Security reporting and vulnerability disclosure are described in the GEIA Security & Responsible Disclosure Policy.
You are responsible for using GEIA services in a way that respects privacy, consent, data protection laws, camera/video rules, employment rules, workplace monitoring rules, and other applicable requirements.
You must not use GEIA cameras, logs, sensors, monitoring tools, or automation systems to unlawfully monitor people, workers, visitors, neighbors, or private areas.
43. Data Ownership and Operational Data
As between you and GEIA, you retain rights to your farm, site, plant, sensor, automation, and operational data, subject to the licenses and processing rights needed for GEIA to provide, secure, support, improve, and operate the services.
GEIA may process operational data to provide monitoring, automation, cloud sync, local sync, edge features, charts, alerts, support, diagnostics, security, AI-assisted features, product improvement, and plan-based functionality.
Data retention, deletion, export, cloud storage, local storage, downgrade effects, and backup limits are governed by the GEIA Privacy Policy, Cloud/PaaS Terms, Subscription & Billing Terms, and applicable plan limits.
44. No Professional Advice
GEIA content, documentation, support, AI outputs, product recommendations, automation examples, configuration examples, dashboards, alerts, and managed service communications are not professional legal, tax, financial, agronomy, engineering, electrical, construction, safety, or regulatory advice.
You are responsible for consulting qualified professionals where needed.
You are responsible for determining whether GEIA products, automations, sensors, add-ons, subscriptions, solar components, LoRaWAN upgrades, gateways, edge servers, and managed services are suitable for your specific site, crop, climate, equipment, safety requirements, and legal obligations.
45. No Guaranteed Agricultural or Business Outcome
GEIA does not guarantee:
- crop yield;
- crop quality;
- plant health;
- disease prevention;
- pest prevention;
- nutrient optimization;
- water savings;
- energy savings;
- labor savings;
- revenue;
- profit;
- regulatory compliance;
- certification;
- uninterrupted automation;
- uninterrupted internet/cloud service;
- sensor accuracy under all conditions;
- equipment compatibility under all conditions;
- uninterrupted camera/livecam availability;
- uninterrupted data sync;
- prevention of equipment failure or crop loss.
Agricultural operations involve risk, environmental variation, biological variation, equipment failure, power failure, internet failure, sensor drift, user error, third-party issues, and local site conditions.
46. Disclaimers
GEIA.AI, the website, platform, documentation, app, APIs, MQTT services, dashboards, community features, AI-assisted features, and related online services are provided on an “as is” and “as available” basis, except where expressly stated otherwise in specific written terms.
To the maximum extent permitted by law, GEIA disclaims all warranties, representations, and conditions not expressly stated, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, accuracy, reliability, and suitability for a particular crop, farm, greenhouse, site, climate, hardware configuration, or business purpose.
Nothing in these Terms excludes warranties, guarantees, or rights that cannot legally be excluded.
47. Limitation of Liability
To the maximum extent permitted by law, GEIA is not liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost crops, crop quality issues, plant loss, disease spread, business interruption, loss of goodwill, loss of data, loss of use, replacement costs, equipment downtime, missed alerts, failed automations, or third-party claims.
To the maximum extent permitted by law, GEIA’s total liability for claims relating to the website, platform, online services, or these Terms will not exceed the amount you paid to GEIA for the specific service giving rise to the claim during the twelve months before the event giving rise to the claim, or USD $100, whichever is greater.
This limitation does not apply to liability that cannot legally be limited.
48. Indemnification
If you use GEIA services on behalf of a business, farm, company, organization, greenhouse, or professional operation, you agree to defend, indemnify, and hold harmless GEIA, its officers, directors, employees, contractors, service providers, and affiliates from claims, losses, damages, liabilities, costs, and expenses arising from:
- your use of GEIA products or services;
- your violation of these Terms;
- your unsafe installation or operation;
- your automation settings;
- your connected devices or third-party equipment;
- your submitted content;
- your violation of law;
- your violation of third-party rights;
- your misuse of APIs, MQTT, integrations, or Host and Earn;
- your failure to maintain safe systems, backups, supervision, or manual overrides.
Consumer users may have mandatory rights that limit this clause.
49. Export Control, Sanctions, and Restricted Use
You may not use, export, re-export, sell, or transfer GEIA products, software, technology, documentation, or services in violation of applicable export control, sanctions, or trade laws.
GEIA may refuse, cancel, or restrict access to products or services where required for sanctions, export control, trade compliance, fraud prevention, or legal risk.
50. Changes to GEIA Services
GEIA may change, update, improve, restrict, suspend, discontinue, or replace any part of the website, platform, app, APIs, features, documentation, packages, product descriptions, community features, or services at any time.
Where a change materially affects a paid service, GEIA will handle the change according to the applicable subscription, sale, service, or customer agreement.
51. Changes to These Terms
GEIA may update these Terms from time to time.
The updated version will be posted on GEIA.AI with a revised “Last updated” date.
If changes are material, GEIA may provide notice through the website, app, account area, email, or other reasonable method.
Your continued use of GEIA.AI after updated Terms are posted means you accept the updated Terms, except where additional consent is required by law.
52. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, excluding conflict-of-law rules.
Where permitted by law, disputes relating to these Terms or GEIA.AI will be handled in the state or federal courts located in Delaware, United States.
Nothing in this section limits mandatory consumer rights, mandatory local jurisdiction rights, data protection rights, payment dispute rights, or other rights that cannot legally be waived.
53. Severability
If any part of these Terms is found invalid, unlawful, or unenforceable, the remaining parts will continue to apply.
The invalid or unenforceable part will be interpreted as closely as possible to the original intent, to the extent permitted by law.
54. No Waiver
If GEIA does not enforce a part of these Terms immediately, this does not mean GEIA waives the right to enforce it later.
Any waiver must be in writing and signed by GEIA.
55. Assignment
You may not assign or transfer your rights or obligations under these Terms without GEIA’s written consent.
GEIA may assign or transfer these Terms as part of a merger, acquisition, restructuring, sale of assets, change of control, financing, corporate reorganization, or transfer of business operations.
